These Terms of Service apply to websites, subdomains & URL extensions, including but not limited to invoiceninja.com, .org, .net, .app, .co, .io, invoicing.co, invoice.services, invoice.ninja, or any URL extensions owned by Invoice Ninja LLC.

Invoice Ninja LLC provides this website and services under the following terms & conditions of use. By utilizing the invoiceNinja.com website you are agreeing to the following terms of service & conditions of use. The following terms & conditions constitute a binding agreement. By creating an account with Invoice Ninja you are agreeing to these terms. If you do not agree, do not use the Invoice Ninja platform.

Right to Amend; Unilateral Modification

Invoice Ninja LLC reserves the absolute, unrestricted right to modify, amend, replace, suspend, or terminate these Terms of Service, in whole or in part, at any time and for any reason, at its sole discretion, without prior notice to you.

Any such modifications shall become effective immediately upon posting to the website, application, or related services. Your continued access to or use of the services after such modifications constitutes your irrevocable acceptance of the amended Terms. If you do not agree to the modified Terms, your sole and exclusive remedy is to immediately cease all use of the services and close your account.

Definitions

  • “Account Holder” refers to any individual or entity that installs, configures, self-hosts, or operates the Invoice Ninja platform, whether in a self-hosted or hosted environment.
  • “Invoice Recipient” refers to any third party who accesses the platform solely to view, receive, or pay invoices issued by an Account Holder, and who does not maintain an administrative account.
  • “Customer Data” refers to all data, documents, invoices, files, content, and information input, uploaded, generated, or processed through the platform by or on behalf of an Account Holder or Invoice Recipient.

Eligibility

By agreeing to these Terms, you represent and warrant that: (i) you are at least eighteen (18) years of age; (ii) you have not previously been suspended or removed from the Website; and (iii) your use of the Website is in compliance with any and all applicable laws and regulations.

Personal Responsibility

User Accounts must ensure the confidentiality of usernames and passwords used to access their account. User Accounts are responsible for all activity occurring within their account including all laws relating to personal & public company data, privacy, personal information, international copyright and trademark laws.

You must obtain all necessary rights, releases and permissions to provide your data to Invoice Ninja. Your data and its transfer must not violate any applicable local, state, federal and international laws and regulations.

Your Obligations

You are solely responsible for, and Invoice Ninja disclaims all liability for, the provision of any goods or services sold to your customers or users as part of your use of the Invoice Ninja platform, and any obligations you may owe to your clients.

Customer Service

Customer service for your business is your responsibility. We provide customer service to you the account user, for use of the Invoice Ninja platform. You are solely responsible for all customer service policies and issues relating to your goods or services, including pricing, order fulfillment, cancellations, returns, refunds and adjustments, technical support, and feedback concerning experiences with your personnel, policies or processes. In performing customer service, you will always present yourself as a separate entity from Invoice Ninja.

Data Ownership & Access

The User Account owns all data generated in their invoiceninja.com account. Invoice Ninja will not access, modify or distribute User Account data.

Deleted Account Restoration Fee

If you deleted your account & data, and later contact Invoice Ninja about an account & data restore; in the case that a data restore is possible, the fee is $140 for Free accounts and $70 for Pro & Enterprise accounts.

Data Retention Policy

Pro & Enterprise Plans — Recurring Auto-Billing

By signing up for the Invoice Ninja "Pro" or "Enterprise" plans, you are agreeing to allow Invoice Ninja to auto-bill your credit card monthly or annually to ensure that you do not experience any interruption of service or downgrade of account.

We reserve the right to change the subscription fees that we charge for the Service, at any time in our sole discretion. In order to stop auto-billing for "Pro" or "Enterprise" accounts, you must downgrade or cancel your account.

Account Downgrade & Cancellation

  • For those members that pay monthly, you can cancel within your active month at any time for a full refund of that month.
  • For those members that pay annually, you have a 30-day grace period from any payment date to cancel and request a full refund.

PEPPOL Credits — Non-Refundable

PEPPOL credits ($50/500 or $100/1000) remain valid for one year from purchase and are fully 100% non-refundable.

Payment Disputes

Prohibited Activities

You may not use the Service for any unlawful, fraudulent, deceptive, or misleading purpose. Without limiting the foregoing, the following activities are strictly prohibited:

  1. Impersonation & Brand Misrepresentation
    Using the Service to create, send, or distribute invoices, payment requests, or communications that:
    • Falsely represent or imply affiliation with, endorsement by, or identity as another individual, company, brand, or organization (including but not limited to PayPal, Norton, technology support providers, financial institutions, or government entities); or
    • Mislead recipients into believing the sender is a legitimate or known vendor when they are not.
  2. Deceptive or Fraudulent Billing Practices
    Using the Service to invoice or solicit payment from individuals or entities:
    • For goods or services that were not ordered, requested, contracted, or previously agreed upon;
    • Under the false pretense of a renewal, subscription continuation, domain/URL renewal, software license renewal, or similar service where no existing business relationship exists; or
    • In a manner intended to confuse, deceive, or pressure recipients into making payment under false assumptions.
  3. Phishing, Scams, and Social Engineering
    Using the Service as part of any phishing scheme, scam, social engineering attempt, or other activity designed to fraudulently obtain money, personal data, credentials, or sensitive information.
  4. Automated Use & API Abuse — Use of automation, scripts, bots, or bulk-sending mechanisms to generate or distribute invoices for deceptive or unauthorized purposes.

Restricted & Prohibited Industries

The following categories of businesses and business practices are restricted from using Invoice Ninja. If you are uncertain, contact legal@invoiceninja.com:

  1. any illegal activity or goods illegal in the location of seller or purchaser,
  2. paraphernalia that may be used for any illegal activity
  3. buyers clubs, including dues associated with such clubs,
  4. credit counselling or credit repair agencies,
  5. credit protection or identity theft protection services,
  6. direct marketing or subscription offers and/or services,
  7. infomercial sales,
  8. internet/mail order/telephone order pharmacies or pharmacy referral services (where fulfillment of medication is performed absent a physical visit,
  9. unauthorized multi-level marketing businesses,
  10. inbound or outbound telemarketers,
  11. prepaid phone cards or phone services,
  12. rebate based businesses,
  13. betting, including lottery tickets, sports related gambling, casino gaming chips, off-track betting, and wagers at races,
  14. manual or automated cash disbursements,
  15. prepaid cards, checks, insurance or other financial merchandise or services,
  16. sales of money-orders or foreign currency,
  17. wire transfer money orders,
  18. high-risk products and services, including telemarketing sales,
  19. automated fuel dispensers,
  20. sales of (i) firearms (ii) and ammunition,
  21. internet/mail order/telephone order of age restricted products (e.g., tobacco, alchohol),
  22. hate or harmful products.
  23. Any dealings with high-risk jurisdictions in any capacity; Cuba, Iran, North Korea, Syria.
  24. Any specific dealings within countries that may fall within targeted sanctions by U.S. Government.
